Terms of Service

1. Acceptance of Terms

By accessing and using the Vyxtron Labs website and services, you accept and agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms, please do not use our services.

These Terms of Service ("Terms") govern your use of Vyxtron Labs's website, software development services, consulting services, and all related products and services (collectively, the "Services").

2. Description of Services

Vyxtron Labs provides the following services:

• Custom web application development
• Mobile application development (iOS, Android, cross-platform)
• Cloud infrastructure design and deployment
• DevOps and CI/CD implementation
• AI/ML integration and automation services
• Digital marketing and growth services
• GRC (Governance, Risk, and Compliance) consulting

3. Client Responsibilities

As a client of Vyxtron Labs, you agree to:

• Provide accurate, complete, and timely information necessary for the delivery of services
• Ensure you have the legal rights to any materials, content, or data provided to Vyxtron Labs
• Respond to communications and requests for feedback in a timely manner
• Pay all fees and charges according to the agreed-upon payment schedule
• Maintain appropriate access permissions for project resources and systems
• Designate a primary point of contact for project communication

4. Project Engagement Process

Our standard project engagement process includes:

• Discovery: Initial consultation to understand requirements, goals, and scope
• Proposal: Detailed project proposal including timeline, deliverables, and pricing
• Contract: Formal agreement signing before work begins
• Development: Iterative development with regular updates and feedback sessions
• Delivery: Final delivery, documentation handover, and project closure

5. Intellectual Property

Client IP: You retain all intellectual property rights to materials, content, and data you provide to us. You grant Vyxtron Labs a limited license to use such materials solely for the purpose of delivering the contracted services.

Work Product: Upon full payment, you retain ownership of the deliverables created specifically for you, including source code, configurations, and documentation. Vyxtron Labs retains ownership of pre-existing tools, frameworks, and methodologies, as well as general knowledge and experience gained during the project.

Third-Party Components: Open-source and third-party components remain subject to their respective licenses.

6. Payment Terms

• Project Fees: Typically structured as 50% upfront deposit, with remaining balance divided across project milestones
• Invoicing: Invoices are sent upon completion of agreed milestones
• Payment Methods: Bank transfer, wire transfer, or as otherwise agreed in writing
• Late Payments: Interest may accrue on unpaid amounts at 1.5% per month
• Currency: All fees are quoted in US Dollars unless otherwise specified

7. Revisions and Change Requests

Project proposals include a defined number of revisions within the agreed scope. Additional revisions or changes outside the original scope will be subject to additional fees and timeline adjustments. We will communicate any such impact before proceeding with changes.

8. Confidentiality

Vyxtron Labs agrees to keep confidential all proprietary information, trade secrets, and sensitive business information disclosed during the engagement. This confidentiality obligation survives the termination of our agreement.

We implement appropriate technical and organizational measures to protect your confidential information from unauthorized access, disclosure, or use.

9. Warranties and Disclaimers

Our Warranties: We warrant that our services will be performed with reasonable skill and care consistent with industry standards. We further warrant that deliverables will conform to the specifications agreed upon in writing.

Disclaimer: Except as expressly set forth in these Terms, we make no other warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the services will meet all your requirements or that the results will be completely error-free.

10. Limitation of Liability

To the maximum extent permitted by law, Vyxtron Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to these Terms or the services provided.

Our total aggregate liability under these Terms shall not exceed the fees paid by you to Vyxtron Labs in the twelve (12) months preceding the claim.

11. Term and Termination

Term: These Terms remain in effect for the duration of the project engagement and any ongoing support arrangements.

Termination for Convenience: Either party may terminate an engagement with 30 days written notice. Upon termination, you will pay for all services rendered through the termination date.

Termination for Cause: Either party may terminate immediately if the other party materially breaches these Terms and fails to cure within 15 days of written notice.

12. Support and Maintenance

Post-launch support and maintenance services are provided separately from development engagements. Support terms, including response times, scope of coverage, and fees, are defined in a separate Support Agreement.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vyxtron Labs and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your breach of these Terms
• Your use of the services or deliverables
• Materials or content you provide to us
• Your violation of any third-party rights

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiations. If unresolved within 30 days, either party may pursue other legal remedies available.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with any executed Statement of Work and supporting agreements, constitute the entire agreement between you and Vyxtron Labs regarding the subject matter hereof and supersede all prior agreements, understandings, and negotiations.

18. Amendments

Vyxtron Labs reserves the right to modify these Terms at any time. We will provide notice of material changes via email or posting on our website. Continued use of our services after such changes constitutes acceptance of the modified Terms.
